Summary: These Terms govern your use of Beacon. Key points: (1) We provide software infrastructure - not medical advice, diagnosis, or treatment. (2) Your patient data stays yours. (3) Liability is capped at 12 months of fees paid. (4) Delaware law governs; disputes resolved in Delaware courts.
SMS Authentication
Equanimity AI Inc. uses SMS exclusively to send one-time transactional security codes for Beacon account authentication, account verification, and security checks. This SMS program does not send marketing or promotional content.
SMS authentication is optional. Consent to receive SMS is not a condition of creating a Beacon account, of using Beacon, or of completing any transaction. Email authentication is available, and you may create an account, sign in, and use Beacon fully without providing a mobile phone number and without ever receiving a text message.
You consent to receive one-time transactional security codes by choosing SMS as the delivery method for your security code and providing a mobile phone number for that purpose. If you choose email instead, no SMS is sent. Accepting these Terms of Use does not by itself enrol you in SMS messaging or constitute consent to receive it.
Message frequency varies based on your authentication requests. Message and data rates may apply.
Reply STOP at any time to stop receiving SMS authentication messages. Reply HELP for assistance where supported, or contact info@equanimity-ai.com.
Carriers are not liable for delayed or undelivered messages.

1. Services Offered
Equanimity AI Inc. provides software infrastructure designed to support healthcare organizations in monitoring and understanding patient-related signals between clinical encounters, including mobile applications, dashboards, and analytics tools.
The company does not provide medical advice, diagnosis, or treatment. Clinicians retain full responsibility for all clinical decisions at every step of patient care.
2. Permitted Use
Users must use the Services for lawful purposes only and may not:
- Misuse or attempt to gain unauthorized access to systems or data
- Reverse engineer or decompile any component of the Services
- Distribute malicious code or software
- Use the Services in violation of applicable law, including HIPAA
3. Account Responsibility
Users must provide accurate registration information and maintain the confidentiality of login credentials. You are responsible for all activity that occurs under your account and must notify us immediately of any unauthorized use at info@equanimity-ai.com.
4. Healthcare / HIPAA Compliance
Healthcare organizations using the Services act as Covered Entities under HIPAA. Equanimity AI may function as a Business Associate and will execute a Business Associate Agreement (BAA) before processing Protected Health Information on your behalf.

5. Data Ownership
Healthcare organizations retain ownership of all patient data. Equanimity AI does not claim ownership of customer data and will not use it for advertising or sale to third parties.
Equanimity AI may use de-identified or aggregated data for product improvement, analytics, and research, provided such data cannot be used to identify individual patients or organizations.
6. Third-Party Services
The company disclaims responsibility for the availability, accuracy, and security of third-party integrations. Use of third-party services is subject to those parties' own terms and policies.
7. Service Availability
We do not guarantee uninterrupted operation of the Services. Maintenance windows, outages, and interruptions may occur. We will endeavor to provide advance notice of planned maintenance where practicable.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE MAKE NO WARRANTY REGARDING CLINICAL OUTCOMES, PATIENT HEALTH RESULTS, OR REIMBURSEMENT OF ANY BILLING CODES.
9. Limitation of Liability
Liability cap: The company's liability shall not exceed the amount paid for the Services during the twelve (12) months preceding the claim.
IN NO EVENT SHALL EQUANIMITY AI BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
Users agree to indemnify and hold harmless Equanimity AI Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from misuse of the Services, violation of these Terms, or violation of applicable law.
11. Termination
Services may be suspended or terminated for violations of these Terms, non-payment, or as required by legal obligations. Either party may terminate with 30 days' written notice. Upon termination, customer data will be made available for export and subsequently deleted in accordance with our Privacy Policy and any applicable BAA.
12. Governing Law
These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved in the courts of Delaware. The parties consent to the personal jurisdiction of such courts.
13. Updates to These Terms
We may modify these Terms from time to time. Material changes will be communicated by email or in-platform notice. Continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms.
